3. Purpose
3.1. This Agreement governs the User enrollment in the Syze Pay Solution through access to the Syze Pay Platform. Enrollment provides an online checkout solution that allows Users to embed the Hosted Payment Page in their Merchant websites to support their online sales.
3.2. The Processing Partner is responsible for receiving and processing sales proceeds and transferring them when requested by the User, provided the request is made through the Syze Pay Platform.
3.3. Services offered by Syze Pay include management of the Receiving Account and Transactions and provision of the Hosted Payment Page for inclusion in Merchant sales websites through the Syze Pay Solution.
3.4. Under applicable law, Syze Pay does not act as a financial institution, credit card service provider or credit card administrator; it solely facilitates and intermediates payment processing.
4. User and Receiving Account registration
4.1. To register, the User must provide their full name or legal business name, email address, login and password. After initial registration, the User must verify the account by providing a CPF or CNPJ (Brazilian individual or business taxpayer ID), telephone number, address, the products to be sold, and documents such as an identity card, CPF document, articles of association and proof of address, or other documents requested by Syze Pay. Registration will not be completed if these documents are not provided.
4.2. The User must provide details of Bank Accounts held in their own name, to which amounts due will be transferred. Registering or transferring funds to third-party bank accounts is not permitted.
4.3. Following registration, Syze Pay reserves the right at any time to assess the User business or activity for compatibility with its internal Policies. Based on that assessment, Syze Pay may approve or reject product registration at its discretion. Approval will be visible on the Platform; rejection at any onboarding stage will be communicated by email.
4.4. Syze Pay reserves the right to use all valid and available means to verify User information, including requesting additional information and documents and consulting databases maintained by third parties.
4.5. Through their Receiving Account, the User will have access to all completed Transactions.
4.6. The User expressly authorizes Syze Pay to retain the information provided and disclose it to (I) competent public authorities that formally request it under applicable law; (II) strategic, commercial or technical partners, including the Processing Partner, for provision of the Services; and (III) parties involved in the same transaction, such as a Customer of the User.
4.7. Revenue from User sales will be recorded in their Receiving Account and, upon request, transferred to the Bank Account designated by the User, less applicable Fees.
4.8. Access credentials allow the User to access their Receiving Account, check balances, monitor sales and request transfers of credited funds (withdrawals) to the associated Bank Account. Only the User may change the credentials. They must not be disclosed to third parties, and their use, security and confidentiality are the sole responsibility of the User.
4.9. The User is solely responsible for activities conducted through their account. Syze Pay is not liable for losses or damages caused by third parties resulting from a breach of this clause.
4.10. The User expressly accepts and acknowledges that anyone using the correct credentials will be recognized by the Syze Pay Platform as the Receiving Account User, and any operation or Transaction carried out with those credentials will be treated as valid.
4.11. If Syze Pay identifies incorrect, false or fraudulent information, it may block the User account, temporarily suspend it to verify the information, or cancel it if the irregularities are not resolved, without any right to compensation or redress for the User and without prejudice to applicable civil or criminal penalties.
4.12. If a User (account holder or sole proprietor) dies, their heirs must immediately notify Syze Pay and provide a death certificate. The account will continue to receive payments, but withdrawals will be blocked until authorized by a court order. If the User was responsible for a legal entity account, the remaining partners must notify Syze Pay and provide the death certificate and updated articles of association.
4.13. The User declares, subject to penalties under applicable law, that the information, data and documents they provide are true.
5. Payment processing
5.1. Whenever a payment is made in favor of the User, the amount will be recorded in their Receiving Account, less Syze Pay and Processing Partner fees, and transferred (withdrawn) to their designated Bank Account upon request.
5.1.1. In addition to the fees in Clause 6, Syze Pay reserves the right to retain 20% (twenty percent) of Transaction amounts for up to 180 (one hundred and eighty) days as security against Chargebacks, disputes, reversals, cancellations and similar events. This percentage may be increased up to 100% (one hundred percent) if disproportionate increases in those events and/or unusual activity are identified.
5.2. The User may view all payments recorded in their Receiving Account in real time through the Syze Pay Platform.
5.3. The User authorizes Syze Pay to deduct amounts arising from Chargebacks, returns or disputes from credits in their Receiving Account without prior or subsequent notice.
5.4. Transfers to the User Bank Account will be electronic and occur on business days between 8:00 a.m. and 5:00 p.m. (Brasília time, Brazil). Sales proceeds will be available for withdrawal from the Receiving Account within the time frames in Clause 6.
5.5. Syze Pay will not be in breach if a transfer cannot be completed because of force majeure or an unforeseeable event.
5.6. The User releases Syze Pay from liability for incorrect or unsuccessful transfers resulting from inaccurate information supplied by the User.
5.7. The User acknowledges that once funds are transferred from the Receiving Account to the Bank Account in accordance with User instructions, those payments are final and irreversible.
5.8. Amounts recorded in the User Receiving Account will not accrue monetary adjustments, indexation or financial returns and will remain unchanged while held. Syze Pay is not liable for any loss of purchasing power or currency depreciation.
5.9. The User is responsible for Chargebacks. If Syze Pay or the Processing Partner receives a Chargeback from the credit card operator, the amount refunded to the Customer will be debited from the User Receiving Account.
5.10. To avoid Chargebacks, the User is advised to follow good commercial practices, including providing clear and objective product information, retaining Transaction records and maintaining clear cancellation and refund policies.
5.11. Causes of Chargebacks include (I) the Customer right to withdraw from a purchase or dissatisfaction with it; (II) failure to receive purchased items under the agreed delivery conditions; (III) doubts about the validity of the purchase; (IV) duplicate charges for a single purchase; and (V) unauthorized third-party purchases using the Customer credit card. Syze Pay is therefore not responsible for Customer disputes, Chargebacks or purchase or payment blocks of any kind.
5.12. The User authorizes and accepts the deduction from their Receiving Account of any amounts arising from judicial or administrative proceedings, including legal fees, court-awarded attorney fees and court costs paid by Syze Pay, caused by the sale of products or services offered by the User.
5.13. Syze Pay may decline to authorize or perform any Transaction it considers to violate this Agreement or its internal Policies, and may refund any purchase to control fraud and Chargebacks, with the amount debited from the User Receiving Account.
6. Fees and withdrawals
6.1. Syze Pay revenue does not include amounts owed or transferred to third parties or other third-party revenue passing through it as collections on behalf of, or intended for, third parties. Merchant revenue consists solely of amounts and fees received for services or economic benefits actually provided by the Merchant to third parties.
6.2. As compensation for its services, Syze Pay charges Fees on amounts received by the User. Fees applicable to each payment method (credit cards, digital wallets and other methods available on the Platform), as well as availability time frames, are disclosed when the User subscribes to a commercial plan and remain available on the Syze Pay Platform.
6.3. Fees are automatically deducted from each payment received by the User.
6.4. Syze Pay reserves the right to introduce, change or remove Fees at any time, subject to applicable law, even if a feature was initially free. Merchants must regularly review fee information and may discontinue any feature if they disagree with the changes.
6.5. Any Taxes imposed or later imposed on the performance or subject matter of this Agreement are the sole responsibility of the taxpayer designated by applicable tax law, without a right to reimbursement.
6.6. If the User offers installment payments and the chosen payment method supports them, a Fee will apply to the total sale amount. The Customer normally bears installment interest at checkout, although the User may choose to absorb it. When using installments, the User may request early payment only for installments already paid by the Customer and acknowledges responsibility for all Transaction costs and risks of nonpayment.
7. Security Reserve
7.1. Syze Pay may maintain a minimum monthly reserve (“Security Reserve”) in the User Receiving Account, calculated according to risk criteria in its internal Policies, to mitigate potentially high operational or financial risk.
7.2. Syze Pay may maintain the Security Reserve after termination of this Agreement to cover outstanding Losses or Chargebacks owed by the User to the Service Provider.
7.3. Syze Pay may, at its sole discretion, retain any amounts payable to the User if it considers that high operational or credit risk is associated with the User performance and activities, their banking institution or any related Transactions.
8. Restricted activities
8.1. The User may not use the Platform to conduct activities or sell goods or services that are unlawful or inconsistent with Syze Pay policies, including:
- offering escort or sexual services, escort agencies or massage parlors;
- subscriptions to adult services, adult chat or pornographic content (photos, videos, DVDs, magazines or similar material);
- firearms, ammunition or similar products;

- any other products whose sale is expressly prohibited by the laws in force where the transaction takes place.
8.2. In addition to observing the restricted activities, the User must meet all requirements and regularly review the rules and restricted product list published on the Platform to remain eligible to use the Syze Pay Solution.
8.3. The Syze Pay Solution must not be used to conceal, handle, invest or benefit from money or other assets derived from criminal activities, or to make such proceeds appear lawful.
8.4. Cookie Stuffing is expressly prohibited. A User who violates this rule will be permanently banned from the Syze Pay Platform.
9. Penalties
9.1. Conduct that violates this Agreement may result in (I) removal of specific content; (II) immediate suspension of account access, with possible permanent disqualification after investigation; (III) blocking of the User account on the Syze Pay Platform; and (IV) forfeiture of amounts identified in the User Receiving Account as a penalty, without releasing the User from liability for losses and damages, at the sole discretion of Syze Pay. This does not prevent Syze Pay or affected third parties from taking appropriate legal action.
9.2. When specific content is removed, funds from Transactions associated with that content and completed before removal may be blocked. After removal, the Syze Pay Solution will not process new Transactions relating to that content for the account.
9.3. When account access is suspended, Transactions relating to content registered by that account may continue, but the User will have no access to account features, including changes to registration details, bank details or registered content. Withdrawals of accumulated funds will also be unavailable.
9.4. If the User account is blocked, all active advertisements and offers created by the User will be automatically canceled. The User will not be entitled to compensation or reimbursement resulting from the block.
9.5. Where there is suspicion or evidence that a User is using fraudulent methods to manipulate payment systems, Syze Pay systems or otherwise commit fraud, Syze Pay may immediately suspend the suspected Merchant access. It may permanently block access and retain existing and receivable balances where appropriate. Available and receivable balances may be used in whole or in part to refund Customers where applicable to prevent Chargebacks, retained as compensation for damages incurred, or transferred to affected third parties under a court order.
9.6. Syze Pay or affected third parties may take appropriate legal action in response to offenses or violations and seek compensation for civil losses arising from breach of this Agreement. Such action does not entitle the User concerned to compensation from Syze Pay.
10. Syze Pay obligations
10.1. In addition to its other obligations under this Agreement, Syze Pay undertakes to (I) provide the Services through secure connections; and (II) comply with laws and regulations relevant to providing the Services.
11. Limitation of liability
11.1. Syze Pay is not responsible for system failures caused by force majeure or unforeseeable events that delay or prevent Transactions when accessing the Syze Pay Platform.
11.2. Syze Pay is not responsible for logistics, shipping or access information for physical products, or for sending access details for digital products offered by Users. Providing that information is the sole responsibility of the User.
11.3. Syze Pay is not responsible for the content of User sales pages.
11.4. Syze Pay is not responsible for tax obligations arising from Transactions between Users and/or Affiliate Users and Customers.
11.5. The User must respond to requests sent to their support service within 2 (two) business days. If no response is received, Syze Pay may cancel the Transaction and refund or reverse the purchase for the Customer, regardless of whether the product has already been shipped or delivered.
12. General conditions
12.1. The User may not assign rights or obligations under this Agreement.
12.2. Syze Pay reserves the right to assign its rights and obligations under this Agreement to third parties without prior User authorization.
12.3. Tolerance by either Party of a breach by the other does not waive any right. It is a discretionary concession and does not prevent the tolerating Party from requiring compliance at any time.
12.4. This Agreement does not create a partnership, agency, joint venture, franchise or employment relationship between Syze Pay and the User.
12.5. Users release Syze Pay from liability for damages arising from technical difficulties or failures in systems or the internet.
12.6. If judicial proceedings are needed to resolve a question or issue relating to this Agreement, the losing party will bear court expenses and attorney fees.
12.7. If any provision is held void or unenforceable, the validity or enforceability of the remaining provisions will not be affected.
12.8. The Parties acknowledge that this Agreement contains their entire agreement concerning its subject matter and supersedes all prior oral or written contracts, agreements or other understandings on that subject.
13. Governing law and jurisdiction
13.1. This Agreement is governed by the laws of the State of Wyoming, United States, without prejudice to mandatory consumer protection rules applicable where the User is located. The Parties select the competent courts of Sheridan County, Wyoming, to resolve disputes arising from this Agreement.

The Seller remains free to offer the same Product through other channels or platforms.
2.2. The Seller is fully responsible for acts or omissions of third parties associated with the Product (experts, actors, characters or endorsers), ensuring that they know and comply with this Agreement. 2.5. Indemnification: the Seller agrees to hold Syze Pay, its partners, controlling entities, subsidiaries, affiliates, administrators, directors, employees, agents, collaborators, representatives and attorneys harmless from losses, damages or liabilities arising from acts or omissions attributable to the Seller or Products sold through the Platform, including costs of legal obligations, litigation, out-of-court settlements, attorney fees, fines, interest and other associated penalties.
2.6. Information on the Syze Pay Platform, as well as trademarks, patents, industrial designs, trade names, domain names, programs, databases, networks, files, copyrighted works and other intellectual property relating to the Services, is exclusively owned by Syze Pay or duly licensed. Copying, distributing, using or publishing Platform material without prior written authorization is expressly prohibited.
2.7. The Seller may not use a Syze Pay trademark, logo or trade name to promote a Product or directly or indirectly suggest association, approval or certification of a Product by Syze Pay, except for standard use arising from use of the Services themselves.
3. Payments
3.1. Whenever a payment is made in favor of the Seller, it is recorded in their receiving account, less Syze Pay and Processing Partner fees, and may be transferred to the designated Bank Account upon request. Clause 5 of Part I applies where relevant.
3.2. Syze Pay reserves the right to retain a percentage of funds for up to 180 (one hundred and eighty) days to cover Chargebacks, disputes, refunds and cancellations. Initially set at 20% (twenty percent), this percentage may be adjusted up to 100% (one hundred percent) if disproportionate increases in such events or unusual transactions are identified.

4. Fees, reserves and restrictions
4.1. As compensation for its services, Syze Pay charges Fees on amounts received from Product sales. Applicable Fees are disclosed when the Seller subscribes to a commercial plan, remain available on the Platform and are automatically deducted from the total transaction amount.
4.2. Syze Pay may maintain a Security Reserve calculated under the risk criteria in its internal Policies, including after termination of this Agreement, under Clause 7 of Part I.
4.3. The Restricted Activities and Penalties in Clauses 8 and 9 of Part I apply fully to the Seller where relevant.
5. Limitation of liability and final provisions

5.2. Syze Pay will not be liable for indirect losses or incidental, special, punitive or consequential damages, including lost profits, lost revenue, business interruption or loss of data. Its liability in any event is limited to Fees received for the specific transaction giving rise to the claim, provided it is duly established that the damage was caused by an act or omission attributable to Syze Pay.
5.3. This Agreement does not create a partnership, agency, franchise or employment relationship between Syze Pay and the Seller. If any provision is void or unenforceable, the validity of the others is unaffected.
5.4. This Global Agreement and related actions are governed by the laws of the State of Wyoming, United States, with disputes to be resolved by the competent courts of Sheridan County, Wyoming.

1.3. The Affiliate agrees that access credentials are confidential and their sole responsibility, and that activity conducted with those credentials is valid. In the event of death, withdrawals will be suspended until legal authorization to release the funds is provided.
2. Compliance and obligations
2.1. The Affiliate must comply with all laws, rules and regulations applicable in their jurisdiction when promoting Seller products, including advertising, consumer protection, anti-spam and data protection rules, and all additional restrictions in this Agreement.
2.2. The Affiliate may not use any trademark, trade name, logo, copyright or other intellectual property belonging to the Seller or third parties without written permission from the rights holder.
2.3. The Affiliate must not misrepresent or make false statements about the Seller or their products, or make claims about product features, attributes, effectiveness or expected results, except statements provided by the Seller specifically for promotional use. The Affiliate assumes full responsibility for unauthorized advertising claims and agrees to defend and indemnify Syze Pay against resulting liability.
2.4. The Affiliate may not promote a Product in a way that suggests the purchase is subject to terms different from Platform refund, cancellation or other policies without prior express written permission from Syze Pay.
2.5. The Affiliate may not use the affiliate program as a refund, cashback or similar scheme allowing customers to receive refunds, discounts or incentives in exchange for purchases through their link. Such practices are strictly prohibited and may result in immediate account termination, forfeiture of accumulated commissions and legal action.
2.6. If Syze Pay identifies atypical, excessive or potentially fraudulent commission structures, it may at its sole discretion retain or suspend all or part of any funds available in the Affiliate account, even before an investigation is complete. The Affiliate may be held jointly and severally liable for fraud or irregularities identified in operations relating to the promoted product.
3. Commissions and payments
3.1. Commission rates are determined by the Seller and disclosed on the Platform. Affiliates acknowledge that Syze Pay has no influence over those amounts and waive any right to dispute them with Syze Pay.
3.2. In cases involving refunds, fees, chargebacks or cancellations, Syze Pay may deduct or offset the corresponding amounts against commissions in future payments.
3.3. Commissions are paid according to the schedule and conditions specified on the Platform to a Bank Account designated and owned by the Affiliate. Payments to third-party accounts are strictly prohibited.
3.4. Syze Pay may retain a percentage of commission payments for up to 180 (one hundred and eighty) days to cover chargebacks, refunds and disputes under the Security Reserve clause.

4.1. A breach of this Agreement may result in (i) content removal; (ii) immediate account suspension, with possible permanent deactivation after investigation; (iii) account blocking; and (iv) forfeiture of amounts identified in the account as a penalty, without releasing the Affiliate from liability for damages caused.
4.2. This Agreement does not create a partnership, agency, franchise or employment relationship. It begins when the Affiliate first uses the Platform and continues until terminated by either Party at any time. On termination, the Affiliate must immediately stop using the Platform and promotional materials.
4.3. The Affiliate is solely responsible for paying taxes, fees and other fiscal obligations arising from their activities under the laws of their jurisdiction. Syze Pay is not responsible for collecting or remitting taxes on behalf of the Affiliate except where required by law.
4.4. This Agreement is governed by the laws of the State of Wyoming, United States, with disputes to be resolved by the competent courts of Sheridan County, Wyoming.
